Intent to Cancel   Help

The General Corporation Act of Puerto Rico, Act No. 164-2009, states that, if an entity fails to comply with its obligation to file annual reports or pay annual dues, for certain consecutive years, the Secretary of State is authorized to cancel in full its certificate of incorporation or organization, respectively.

The entities that are not in compliance have been identified and are being notified regarding the intent to cancel. Missing reports or dues must be filed or paid within sixty (60) days after the date of this notice. On 30-Dec-2019, the Secretary of State will administratively cancel the entity without any further notification.

To find out if an entity is currently in the “Intent to Cancel” list:

  1. Enter the Register Number or Corporation Name
  2. Click Search
  3. If the entity has an intent to cancel, the system will show the entity name
  4. Click the name and locate the Articles tab to view the Notice of Intent to Cancel

Specify search criteria then click the Search button.
